The undersigned, acting as the organizer of a non-profit corporation under the Revised Iowa Nonprofit Corporation Act (Iowa Code Ch. 504) (the "Act"), does hereby adopt the following Articles of Organization for EASTERN IOWA SCIENCE AND ENGINEERING FAIR, INC. (the "Company"):

ARTICLE ONE

The name of the Company is EASTERN IOWA SCIENCE AND ENGINEERING FAIR, INC.

ARTICLE TWO

The address of the Company’s initial registered office is 7120 Old River Road, Ely, Iowa 52227, and the name of the initial registered agent at the office is Michelle Shaw.

ARTICLE THREE

The name and address of the incorporator of the Company is Michelle Shaw, 7120 Old River Road, Ely, Iowa 52227.

ARTICLE FOUR

The Company will not have members.

ARTICLE FIVE

Upon the dissolution of this Company for any reason, any funds of the Company then unexpended, after the payment of all the Company’s obligations, shall be donated to such charitable organization or organizations as shall have qualified for and received a tax exemption certificate from the U.S. Department of Internal Revenue Service as determined by the Company.

IN WITNESS WHEREOF, these Articles of Organization have been executed on July 17, 2005 by the undersigned.
